Please read these Terms & Conditions carefully before using any LivePin service. These Terms form a legally binding agreement between you and Quantumbees Infotech Private Limited.
1. Acceptance of Terms
By accessing or using any product, platform, website, or service offered by Quantumbees Infotech Private Limited operating under the LivePin brand ("LivePin", "we", "our", or "us") (collectively, the "Services"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you must not use our Services. These Terms apply to all users, including visitors, customers, and registered account holders.
2. Description of Services
LivePin provides AI-powered fleet management and telematics solutions including GPS hardware devices, AI dashcams, vehicle tracking software, ERP integrations (Qbeedesk), and related APIs. The specific features and availability of Services are described on our website and may vary by subscription plan.
3. Eligibility
You must be at least 18 years of age and have the legal capacity to enter into a binding contract to use our Services. By accepting these Terms, you represent and warrant that you meet these eligibility requirements. If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
4. Account Registration
To access certain features, you must create an account. You agree to: (a) provide accurate, current, and complete information during registration; (b) maintain the security of your credentials and not share your password with any third party; (c) notify us immediately at info@livepin.in of any unauthorised access or suspected breach; and (d) take responsibility for all activity that occurs under your account.
5. Hardware Devices
GPS trackers, AI dashcams, and other hardware sold by LivePin are subject to our product warranty terms provided at the time of purchase. Hardware must be installed and operated in compliance with applicable laws and regulations. Tampering, reverse engineering, or unauthorised modifications to hardware devices will void the warranty and may result in account suspension.
6. Subscription & Billing
Software and platform access is provided on a subscription basis. Subscription fees are billed in advance on a monthly or annual cycle as selected at checkout. You authorise LivePin to charge the payment method on file for all applicable fees. Failure to pay may result in service suspension. All prices are in Indian Rupees (INR) and are inclusive of applicable GST unless stated otherwise.
7. Acceptable Use
You agree not to: (a) use the Services for any unlawful purpose or in violation of any applicable laws; (b) track individuals without their consent in violation of applicable privacy laws; (c) resell, sublicense, or commercially exploit any part of the Services without written permission; (d) attempt to gain unauthorised access to any LivePin systems or networks; (e) transmit malware, viruses, or other harmful code; or (f) interfere with the integrity or performance of the Services.
8. Intellectual Property
All intellectual property rights in the Services, including software, dashboards, APIs, documentation, trademarks, and content, are owned by or licensed to LivePin. These Terms do not grant you any right, title, or interest in LivePin's intellectual property. You are granted a limited, non-exclusive, non-transferable licence to use the Services solely for your internal business operations during the subscription term.
9. Data & Privacy
LivePin collects and processes personal data as described in our Privacy Policy. By using the Services, you consent to such collection and processing. You retain ownership of the fleet and operational data you generate through the Services. LivePin will not sell your data to third parties. Data security is maintained in accordance with ISO 27001 standards.
10. Limitation of Liability
To the maximum extent permitted by applicable law, LivePin shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption, arising out of or related to your use of the Services. LivePin's total cumulative liability to you for any claims arising under these Terms shall not exceed the fees paid by you to LivePin in the three (3) months immediately preceding the event giving rise to the claim.
11. Disclaimer of Warranties
The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. LivePin does not warrant that the Services will be uninterrupted, error-free, or free of harmful components.
12. Indemnification
You agree to indemnify, defend, and hold harmless LivePin and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your infringement of any third-party rights.
13. Termination
Either party may terminate the subscription at the end of the current billing period. LivePin may suspend or terminate your access immediately if you materially breach these Terms. Upon termination, your right to use the Services ceases and you must discontinue all use of LivePin hardware and software. Provisions that by their nature should survive termination will continue in full force.
14. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Kolkata, West Bengal, India. Before initiating any legal proceedings, the parties agree to attempt in good faith to resolve any dispute through negotiations for a period of 30 days.
15. Changes to These Terms
LivePin reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such notice constitutes your acceptance of the revised Terms.
